1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Member," or "you") and The AI Systems Academy operated by Brandon Todd Jackson ("we," "us," or "our"). By accessing or using our website, services, or membership platform, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use our services. We reserve the right to modify these Terms at any time. Continued use after changes constitutes acceptance.
2. Description of Services
The AI Systems Academy provides a membership-based educational platform offering:
- Strategic frameworks and templates for AI system design
- Monthly live build sessions and recorded content
- Systems library with complete architecture documentation
- Community access for strategic discussions
- PRD and architecture review opportunities
- Monthly deep dive sessions on strategic frameworks
Services are provided on a subscription basis (monthly or annual) and may be modified, suspended, or discontinued at any time with notice.
3. Membership and Subscription
3.1 Subscription Plans
We offer the following subscription plans:
- Monthly Membership: $17/month, billed monthly
- Annual Membership: $84/year, billed annually (saves 59%)
Founding members lock in their rate forever. After 1,000 members, new member pricing increases to $27/month (then $47/month in 2026) and $247/year for annual plans.
3.2 Payment Terms
- Payments are processed securely through Stripe
- Subscriptions automatically renew unless cancelled
- You authorize us to charge your payment method on a recurring basis
- All fees are in U.S. dollars and are non-refundable except as stated in our Refund Policy
- Failed payments may result in suspension or termination of access
3.3 Cancellation
You may cancel your subscription at any time from your account dashboard or by contacting us. Cancellation takes effect at the end of your current billing period. You retain access until the end of the period you've paid for. No refunds for partial periods except as provided in our Refund Policy.
4. User Accounts and Responsibilities
4.1 Account Creation
To access membership features, you must:
- Provide accurate, current, and complete information
- Maintain and update your account information
- Maintain the security of your account credentials
- Notify us immediately of unauthorized access
- Be at least 18 years of age
4.2 Prohibited Conduct
You agree not to:
- Share, sell, or transfer your account to another person
- Share login credentials or allow unauthorized access
- Copy, reproduce, distribute, or create derivative works from our content without permission
- Use our content for commercial purposes outside your own business
- Reverse engineer, decompile, or attempt to extract source code
- Use automated systems (bots, scrapers) to access our services
- Interfere with or disrupt the services or servers
- Post harmful, abusive, or illegal content in community spaces
- Violate any applicable laws or regulations
5. Intellectual Property Rights
5.1 Our Content
All content, materials, frameworks, templates, architecture documentation, videos, and other materials ("Content") are owned by The AI Systems Academy and protected by copyright, trademark, and other intellectual property laws.
You receive a limited, non-exclusive, non-transferable license to access and use Content for your personal business purposes only, subject to these Terms.
5.2 Your Content
You retain ownership of content you create using our frameworks or submit to us. By submitting content (e.g., PRDs for review), you grant us a non-exclusive license to use, display, and analyze it for service delivery and improvement purposes.
6. Community Guidelines
Our community is for strategic discussions, not technical troubleshooting. Members are expected to:
- Respect other members and maintain professional discourse
- Focus on strategic thinking and systems design
- Not share confidential or proprietary information
- Not spam, solicit, or promote unrelated services
We reserve the right to remove content, suspend, or terminate accounts that violate these guidelines.
7. Disclaimers and Limitations
7.1 Educational Purpose
Our services are educational in nature. We provide frameworks, templates, and strategic guidance. We do not guarantee specific business outcomes, revenue, or results. Your success depends on your own implementation, effort, and business circumstances.
7.2 No Professional Advice
Content is for informational purposes only and does not constitute legal, financial, tax, or professional advice. Consult qualified professionals for advice specific to your situation.
7.3 Service Availability
We strive for continuous availability but do not guarantee uninterrupted, error-free, or secure service. We may perform maintenance, updates, or experience outages.
7.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OUR SERVICES.
Our total liability for any claims shall not exceed the amount you paid us in the 12 months preceding the claim.
8. Indemnification
You agree to indemnify, defend, and hold harmless The AI Systems Academy, its operators, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of our services
- Your violation of these Terms
- Your violation of any third-party rights
- Content you submit or create using our frameworks
9. Termination
9.1 By You
You may terminate your account at any time by cancelling your subscription. Access continues until the end of your paid billing period.
9.2 By Us
We may suspend or terminate your account immediately if you:
- Violate these Terms or community guidelines
- Engage in fraudulent, abusive, or illegal activity
- Fail to pay subscription fees
- Infringe intellectual property rights
Upon termination, your right to access services ceases immediately. We are not obligated to provide refunds except as stated in our Refund Policy.
10. Dispute Resolution
10.1 Governing Law
These Terms are governed by the laws of the United States and the state in which we operate, without regard to conflict of law principles.
10.2 Informal Resolution
Before filing a claim, you agree to contact us at hello@aisystemsacademy.com to attempt informal resolution for at least 30 days.
10.3 Binding Arbitration
If informal resolution fails, disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, except where prohibited by law. You waive the right to a jury trial and class action participation.
11. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be notified via email or prominent website notice. Your continued use after changes constitutes acceptance. If you do not agree, you must cancel your subscription.
12. Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.
13. Entire Agreement
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and us regarding our services and supersede all prior agreements.
